PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCEPTING. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS, YOU MUST NOT ACCEPT THIS AGREEMENT AND YOU CANNOT SIGN UP TO PROVIDE SERVICES.

THIS AGREEMENT INCLUDES BINDING ARBITRATION IN SECTION 10, REQUIRING YOU TO RESOLVE DISPUTES THROUGH ARBITRATION. IF YOU DO NOT AGREE, DO NOT ACCEPT THIS AGREEMENT.

Host Agreement

This Host Agreement (“Agreement”) is between:

1. Transcend Agency (“we” or “Agency”); and

2. You (“Host” or “you”).

Effective Date

This Agreement starts when you accept its terms.

Term

1 Month (Auto-renews unless canceled as described in Section 6)

Background

Transcend Agency works with BIGO, the operator of the Bigo Live app (“Platform”), to promote the Platform through hosts like you. By joining, you agree to create and share content on Bigo Live under this Agreement.

1. Engagement

We will provide you with campaign plans (“Plans”) detailing compensation, conditions, and responsibilities. Once you accept a Plan, you agree to provide the services described in the Plan. The terms of the Plan will take precedence if they conflict with this Agreement.

2. Modification

We can change the terms of any Plan or policy at any time. If you disagree with a change, stop providing services. Continuing services after a change means you accept the new terms. It is your responsibility to stay informed about any changes.

3. Rules Compliance

You must follow this Agreement and all BIGO rules and policies to provide services and receive payment. These rules are updated from time to time.

4. Rules Violations

If you break the rules, we can withhold your payments. Any overpayment must be returned or will be deducted from future payments.

5. Compensation

We will pay you according to the Plans on a monthly basis, within about 15 business days after the month ends. Payments depend on meeting the specific criteria of the Plan. Payment dates may be delayed due to holidays. Payments are based on BIGO’s data records.

6. Option to Renew

This Agreement will automatically renew each month unless either Party gives 2 days’ written notice before the end of the term to stop renewal.

7. Termination

Either Party can end this Agreement or any Plan at any time with notice. Termination stops all services and Plans. We can withhold payments for a reasonable time to ensure correct amounts are paid. Hosts who are rejected or terminated for breaking rules cannot rejoin without BIGO’s written permission.

8. Payment Method

Payments will be made via:

• Bank Transfer: Provide a valid payment invoice. Each Party pays their own bank fees. We are not responsible for payment delays if you fail to issue an acceptable invoice.

• Beans Redemption: Beans will be sent to your Platform account for redemption according to instructions. You may need to accrue a minimum amount of Beans before redeeming.

9. Account Security

You are responsible for the security of your account and password. Do not share your account details with others. Notify us immediately if there is any unauthorized use. You are liable for any losses due to unauthorized use.

10. Arbitration

Disputes will be resolved through binding arbitration administered by the Singapore International Arbitration Centre.

11. Miscellaneous

• Independent Contractor: You are an independent contractor, not an employee.

• Confidentiality: Keep all information about our plans and BIGO’s operations confidential.

• Compliance: Follow all laws and regulations in your activities.

• Intellectual Property: You grant us and BIGO the right to use the content you create.

By accepting this Agreement, you agree to all the terms and conditions stated above.
